The following terms and conditions are applicable to your use of foodvenue.com‘s services or any content found in, provided through and/or accessible at foodvenue.com the Web Site”). By using or accessing the Web Site, you agree to be bound by all of the terms and conditions hereinafter appearing (“Terms of Use”). If you do not agree to be bound by the Terms of Use, please exit the Web Site now and do not use or access the Web Site.

Throughout the Terms of Use, merchants who list their establishments in the Web Site and / or who utilise our advertising and meal ordering and delivery system and services are identified specifically as "Merchants". Any person who uses or accesses the Web Site or any part thereof (including the Merchants) shall be known as "Users" and terms such as “You” and “your” shall refer to the Users.

foodvenue.com is owned and operated by Food Venue Sdn. Bhd. (Company No.: 535124-X), a company incorporated under the laws of Malaysia. Food Venue Sdn. Bhd., its employees, servants, agents and contractors and, where the context permits, the Web Site shall hereinafter be collectively identified as "foodvenue.com".

foodvenue.com reserves the right to change the Terms of Use at any time by posting changes online without prior notice. Such amendments shall become effective upon the posting of the amended terms and conditions on the Web Site. Notice shall be deemed to have been served on you of any such amendments upon the amendments being made available over the Internet. You are responsible for regularly reviewing information posted online and your continued access or use of the Web Site means that you agree to accept any such amendments in future.

User Registration Obligations
The use of some of the services in the Web Site will require registration through the provision of your personal information to foodvenue.com. You are required to provide true, accurate, current and complete information during registration and you agree to notify us immediately of any changes to the aforementioned information by contacting our Web Admin.

Medium of Promotion And Marketing
The Web Site is a medium for promoting and marketing the Merchants’ establishments and in some instances the Web Site provide software applications to power the meals ordering and delivery processes of these Merchants. foodvenue.com does not provide any warranty or any representations on any information or services provided in the Web Site. Such information includes the promotions and claims provided by the Merchants and description of any products/services.

foodvenue.com does not endorse, recommend or sponsor any Merchant or establishment listed in the Web Site or any content, products or services offered by such Merchants. You should make your own independent decision in respect of any use or reliance of any information provided herein.

foodvenue.com shall not be held responsible or liable, whether directly or indirectly, for any loss or damage arising out of any use of, or reliance upon, any content or services, products or services on the Web Site including without limitation failures by the Merchants to provide the promotions or claims as advertised in the Web Site or to deliver any products or services ordered in this Web Site.

The receipt of an electronic mail or other form of confirmation of any orders by foodvenue.com does not constitute or signifies acceptance of your order or the Merchant’s offer to sell. foodvenue.com reserves the right, without prior notification, to limit the order quantity on any products or services listed herein or to refuse service to you. Verification of information may be required prior to acceptance of any order.

Any time or date for delivery of products and services stated by the Merchants shall be treated as an estimate only. Without limiting the generality of any of the disclaimers herein, you hereby acknowledge and agree that foodvenue.com shall not be liable for any loss or damage whatsoever (including consequential loss or loss of profit) arising directly or indirectly from any delay in the delivery of all of any of the products or services howsoever caused or arising. You will be bound to accept the products or services when they are ready for delivery by the Merchant. Delivery shall be deemed to take place when the products are delivered at or ready for performance at the nominated address of delivery.

Content Transmission and Establishment Reviews and Comments
foodvenue.com does not control content provided by our users and Merchant on the Web Site or transmitted through the Web Site and therefore such content may be obscene, offensive, harmful or inaccurate. foodvenue.com hereby disclaims (which you hereby expressly agree and acknowledge) any responsibility or liability for any statements made by our users whether such content is available or found in the Web Site or otherwise. However if you have reason to believe that any content is obscene, offensive, harmful or inaccurate, please notify our Web Admin.

You shall be responsible for the content you post on the Web Site and / or transmit through the Web Site and further agree to be bound by the Review and Comment Terms. Without limiting the foregoing, you hereby agree and warrant that any content you post on the Web Site and /or transmit through the Web Site:

All intellectual property rights (including copyright, patents, trademarks and other similar rights) to all content (including without limitation any graphics, text, page headers, images, animated pictures and sound in any format) found in or available on the Web Site are owned by foodvenue.com, its licensors or the respective content providers.

Decision of foodvenue.com
Any decision whatsoever on all matters including prize giveaways pertaining to any promotion and/or contest held at the Web Site made or confirmed by foodvenue.com shall be final and no correspondence will be entertained. foodvenue.com reserves the right to refuse acceptance of any contest entry.

Obligations To Preserve System Integrity
You may not use any device, software or programming routine to interfere or attempt to deny or interfere with any of the intended functionalities of the Web Site including conducting any action which imposes an unreasonable or disproportionately large load on foodvenue.com’s system infrastructure.

Breach of Terms of Use and Indemnity

You agree to fully indemnify and keep indemnified, defend and hold foodvenue.com harmless immediately on demand, from and against all claims, liability, damages, losses, costs and expenses, including any legal fees, arising out of any breach of the Terms of Use by you or any other liabilities arising out of your use of the Web Site, or the use by any other person accessing the Web Site using your login name and password or the content provided by you to the Web Site.

Without limiting the generality of the foregoing, foodvenue.com disclaims all warranties, whether express or implied, in relation to any information, claims made in the Web Site or any products or services provided by Merchants through the Web Site. You acknowledge that foodvenue.com does not verify the accuracy of any information in the Web Site and that you should make your own independent investigations and determinations when deciding to rely on any such information. Specifically, foodvenue.com disclaims all liabilities in respect of such information provided by the Merchants which may arise including but not limited to liabilities arising from defamation, breach of confidence, intellectual property rights infringement and professional negligence.

foodvenue.com makes no warranty that the Web Site will meet your requirements and does not guarantee continuous, uninterrupted, error free or secure access to the Web Site and further reserves the right to suspend any of our services at any time and/or prevent your access to any of our services or content at any time at our sole and absolute discretion. foodvenue.com shall not be responsible or liable to you for any loss of content (including any orders for products and services) uploaded to or transmitted through the Web Site.

In no event shall foodvenue.com be liable to you or anyone else for any loss or injury or any direct, indirect, special, punitive, exemplary, aggravated, consequential damages, or any damages whatsoever including but not limited to loss of use, data, revenue, reputation or profits, whether in action of contract, negligence or other tortious action, arising out of or in connection with your access, use of, or your inability to access or use the Web Site. In any event, where any liability is not able to be excluded under the Terms of Use pursuant to the applicable law, foodvenue.com‘s liability under any circumstances shall be limited to Ringgit Malaysia Fifty Only (RM50-00).

General
If there is any conflict between the Terms of Use and other specific terms and conditions of use appearing on the Web Site relating to specific activities and / or materials, then the latter shall prevail to the extent of the conflict. If any of the Terms of Use or other specific terms and conditions of use should be determined to be illegal, invalid or otherwise unenforceable under any court of law, then to the extent that term or condition is illegal, invalid or unenforceable, the illegal or invalid portion shall be severed and deleted and the remaining provisions shall survive, remain in full force and effect and continue to be binding and enforceable.

Headings, wherever appearing, are for convenience of reference only and shall in no way define, limit, construe or describe the scope or extent of any provision.

Any failure, delay or indulgence by foodvenue.com to act with respect of any breach by you or others or to enforce any of our rights shall not constitute a waiver on foodvenue.com’s part and shall not preclude or limit our right to take action later and / or to act with respect to subsequent or similar breaches.

foodvenue.com and the Merchants are independent contractors and neither party has authority to make any representations or commitment on behalf of the other save as provided herein.

The Privacy Policy shall form part of this Terms of Use.

Governing Law
The Terms of Use shall be governed by and construed in accordance with the laws of Malaysia without reference to any principle of conflict of laws. You hereby agree that any disputes arising out of or related to your use of the Web Site shall be submitted and subjected to the exclusive jurisdiction of the courts of Malaya.
